TERMS OF SERVICE AGREEMENT

This Agreement is made between Stagecraft Gardens Limited (Company No: 15459738), hereinafter referred to as "the Contractor," and the individual or entity named in the accompanying Project Proposal, hereinafter referred to as "the Client."

1. The Services & Modular Structure

1.1. The Contractor agrees to perform the specific horticultural, landscaping, and design services as itemised in the approved Project Proposal.
1.2. The Client may elect to proceed with all or selected individual phases of the proposal.
1.3. Separated Work Surcharges: The pricing in the proposal is optimised for coordinated site visits. If the Client elects to separate itemised phases across different, non-consecutive calendar dates, the Contractor reserves the right to apply an additional Logistics and Travel Surcharge to cover vehicle lease operations, fuel, and tool deployment.

2. Fees, Deposits, and Payment Terms

2.1. Booking Deposit: To secure calendar dates for any approved phase, a non-refundable 50% deposit (unless otherwise stated) of that phase's total value must be paid upfront by the Client. No work will commence, and no materials or specimen plants will be ordered, until this deposit has cleared in our bank account.
2.2. Final Balance: The remaining 50% balance for each completed phase is due immediately upon practical completion of that specific phase's on-site work.
2.3. Late Payments: The Contractor reserves the right to halt all ongoing and subsequent work phases if any invoice remains unpaid past its due date.

3. Client Responsibilities & Site Access

3.1. The Client must provide unrestricted access to the garden site during standard working hours (8:00 AM to 4:00 PM, or as otherwise agreed).
3.2. The Client must ensure a reliable supply of electricity and clean running water is available on-site for the Contractor’s commercial tools and equipment at no charge to the Contractor.
3.3. The Client must explicitly notify the Contractor of any hidden underground pipes, wires, or irrigation systems prior to the commencement of work. The Contractor accepts no liability for damage to undisclosed underground services.
3.4. If any hidden obstacles or unforeseen removals occur during the works, additional time-and-materials costs may apply and will be on the final invoice.

4. Materials, Plants, & Curation (Classes 31 & 35)

4.1. All living plants, topiary, and specimen trees sourced by the Contractor are subject to availability at trade nurseries. The Contractor reserves the right to substitute unavailable stock with a similar alternative of equal value and aesthetic impact, following consultation with the Client.
4.2. Living Asset Disclaimer: Once living plants or turf are installed on the Client's property, ownership and care responsibility transfer completely to the Client. The Contractor is not liable for plant loss or deterioration caused by extreme weather, frost, insufficient watering, or inadequate Client maintenance.

5. Weather, Delays, and Force Majeure

5.1. Gardening and spatial design are subject to the British climate. In the event of severe weather conditions (including but not limited to torrential rain, frozen ground, or extreme heat waves) that compromise safety or soil integrity, the Contractor reserves the right to pause operations and reschedule the work to the next mutually available date.
5.2. Delays caused by weather or external supply chain disruptions do not constitute a breach of this contract and do not entitle the Client to a refund of their booking deposit.
5.3. Client Cancellations & Rescheduling Fee Matrix

As a dedicated design and planting studio, we strictly allocate time slots in advance and book subcontractors specifically for your project. If the Client requests to cancel or reschedule a confirmed project phase, the following financial terms apply:

  • More than 7 Days’ Notice: The Client may reschedule their project phase to the next mutually available calendar date with no financial penalty. The initial 50% deposit will be transferred fully to the new date.

  • Between 48 Hours and 7 Days’ Notice: The Client may reschedule, but a flat £75.00 Admin & Late Rescheduling Fee will be applied to the final invoice to cover calendar redistribution costs.

  • Less than 48 Hours’ Notice (Or No Site Access on the Day): The initial 50% booking deposit for that phase is forfeited in full to cover the Contractor’s lost daily operational rate and guaranteed subcontractor payout fees. To book a new date, a fresh deposit will be required.

6. Subcontractors & Deployment

6.1. Stagecraft Gardens Limited reserves the right to employ qualified subcontractors, independent gardeners, or specialist tradesmen to complete parts or all of the itemised physical labour on-site.
6.2. All deployed personnel operate under the Contractor’s brand guidelines and strictly carry independent or corporate public liability insurance coverage.

7. Waste Removal and Environmental Logistics

7.1. Unless explicitly excluded in the project line items, green waste removal and commercial tipping fees will be charged as a distinct line item to cover municipal environmental compliance and disposal licenses.

8. Legal Jurisdiction & Declaration

8.1. This agreement is governed by and construed in accordance with the laws of England and Wales.
